Terms of Service

Effective [Effective date]

Before launch: fill in the business details (back office, Business details) and have these terms reviewed by a New Zealand lawyer.

These Terms of Service (the "Terms") govern your use of Amicova, its website and its research application (together, the "Service"), provided by [Business name], [Business address] ("Amicova", "we", "us"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service for a law firm or other organisation, you confirm that you may accept these Terms for it. If you do not agree, do not use the Service.

1. What Amicova is

Amicova is a legal research tool. It searches a library of New Zealand legal materials (such as Acts, secondary legislation and Bills, judgments of the courts, and publications of the Law Commission and Inland Revenue) and uses artificial intelligence ("AI") to draft research answers that cite and link to those materials.

Amicova does not give legal advice. It is not a law firm, it is not a lawyer, and using it does not create a lawyer-client relationship with us or with anyone else. Answers are research aids, not legal opinions, and are not a substitute for the judgment of a qualified lawyer.

2. Your responsibility for how you use the answers

  • AI can be wrong. Answers may be incomplete, out of date, or may misread a source, even when a citation is shown and checked.
  • You must read and verify every authority against an official or authoritative source before relying on it, citing it, or filing it in any court or tribunal. The legislation in the library is not an official version; check the official version on www.legislation.govt.nz, which each Act and regulation links to.
  • The library may not include every judgment, Act, amendment or regulation, and it may lag behind recent ones. Texts read from scanned documents may contain recognition errors; check them against the original, which each document links to. Respect any suppression orders and anonymisation that apply to a judgment.
  • If you are a lawyer, you remain fully responsible for your work, including under the Lawyers and Conveyancers Act (Lawyers: Conduct and Client Care) Rules 2008, and for protecting your clients' confidential and privileged information.

3. Who may use the Service

You must be at least 18 years old and able to enter into a binding contract. The Service is meant for lawyers, law students, legal executives and other people doing legal research. You may not use it if we have suspended or closed your account before.

4. Your account

  • Give accurate information when you sign up, and keep your email address up to date.
  • An account is for one person. Do not share your login or let others use your account.
  • Keep your password secure. You are responsible for what happens under your account. Tell us promptly at [contact email] if you think someone else has used it.
  • If you sign in with Google or Facebook, their terms also apply to that sign-in.

5. Free trial

New accounts get a free trial of 14 days. No payment details are needed to start it. The trial is limited to one per person; creating extra accounts to get more trials is not allowed. When the trial ends, you need a paid subscription to keep asking questions. Your account and saved research are kept.

6. Subscription, payment and price changes

  • A subscription costs NZ$39 per month (30 days) unless a different price is shown when you pay.
  • Payment is made in advance through our payment provider, using the methods shown at checkout. Your payment details are handled by our payment provider, Stripe, under its own terms; we do not receive or store your card details. We email a receipt for each payment, which is a tax invoice when we are registered for GST.
  • Each payment gives you 30 days of access. If you pay before your current month ends, the new month starts when the current one ends. We do not charge you automatically; we remind you by email before your access ends.
  • A promotional or launch price applies only while it is offered. We may change the price for future months; a change will not affect a month you have already paid for, and we will tell you at least 30 days before it applies to you.

7. Cancellation and refunds

You can stop at any time by not renewing; your access then ends when your paid month ends. You can also delete your account at any time from the Account page. Because the free trial lets you evaluate the Service before paying, payments are not refundable, except where the law requires a refund (including under the Consumer Guarantees Act 1993, if it applies to you) or where we fail to provide the Service you paid for (for example, a long outage caused by us), in which case we will refund the unused part.

8. Acceptable use

You agree not to:

  • copy, download or extract the library or answers in bulk, or use automated tools (scrapers, bots, scripts) to access the Service, except through features we provide;
  • resell, sublicense or provide the Service to others, or use it to build a competing product or to train AI models;
  • attempt to break, probe or bypass the Service's security, access limits or payment, or reverse engineer its software;
  • overload the Service or interfere with other users;
  • use the Service for anything unlawful, to harass anyone, to breach a suppression order, or to prepare false or misleading submissions; or
  • enter information you have no right to share. Keep personal and confidential details in your questions to what your research needs.

9. Your questions and saved research

You keep all rights in the questions you ask. You allow us to store and process them, and the answers produced for you, to provide the Service to you: to research and answer them, keep them in your history, and keep the Service secure. To produce answers, your questions are sent to our AI model provider, which processes them under its commercial terms. We do not sell your questions and do not use them to train AI models. Your saved research is not shown to other users; our owners and administrators can see it as described in the Privacy Policy. You can delete conversations, or your whole account, at any time. See the Privacy Policy for details.

10. The library and our intellectual property

There is no copyright in New Zealand Acts, regulations, Bills or the judgments of courts and tribunals (Copyright Act 1994, s 27). Legislation is taken from the Parliamentary Counsel Office's New Zealand Legislation data under its terms of use; Law Commission publications are used under the Creative Commons Attribution 4.0 licence, and the Commission does not endorse the Service; Inland Revenue's tax technical publications are used under the same licence, and Inland Revenue does not endorse the Service. Other materials come from the sources credited and linked on each document and remain subject to their own terms. The Service's software, design, the way the library is compiled, organised and formatted, the answers' presentation and the Amicova name and logo belong to us or our licensors. Subject to these Terms, we give you a personal, non-transferable right to use the Service for your own research and work, including quoting answers and authorities in your own documents.

11. Availability and changes to the Service

We work to keep the Service available and accurate, but it is provided "as is" and "as available". It may sometimes be interrupted for maintenance or by events outside our control. We may change, add or remove features and library contents. If we stop offering the Service altogether, we will give you reasonable notice and refund any unused part of a paid month.

12. Suspension and termination

We may suspend or close your account if you seriously or repeatedly break these Terms, if your use puts the Service or others at risk, or if the law requires it. Where reasonable, we will tell you why and give you a chance to fix the problem first. If we close your account without fault on your part, we will refund the unused part of a paid month.

13. Consumer law

If you are a consumer, nothing in these Terms limits your rights under the Consumer Guarantees Act 1993, the Fair Trading Act 1986 or other law that cannot be excluded. If you use the Service for the purposes of a business (for example, for a law firm or your practice), you and we agree that the Consumer Guarantees Act 1993 does not apply, and that sections 9, 12A, 13 and 14(1) of the Fair Trading Act 1986 do not apply, and that it is fair and reasonable that the parties are bound by this clause.

14. Disclaimers

To the extent the law allows, we do not promise that the Service or its answers will be accurate, complete, current, error-free or fit for a particular purpose, or that the library contains every relevant authority. You use the answers at your own risk and judgment, as described in sections 1 and 2.

15. Limitation of liability

To the extent the law allows: (a) we are not liable for indirect or consequential loss, or for lost profits, lost cases, lost clients, or lost data, arising from your use of the Service or its answers, whether in contract, tort (including negligence) or otherwise; and (b) our total liability for any claim about the Service is limited to the amount you paid us in the three months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under New Zealand law, such as liability for fraud.

16. Indemnity

You agree to compensate us for claims, losses and reasonable costs (including legal costs) that arise from your breach of these Terms or your unlawful use of the Service, to the extent caused by you.

17. Electronic communications

You agree that we may send you notices and records electronically, by email or in the Service, and that these Terms and other records may be formed and kept electronically, consistent with Part 4 of the Contract and Commercial Law Act 2017. Account emails (confirmations, password resets, trial and renewal reminders, receipts) are part of the Service.

18. Changes to these Terms

We may update these Terms. For material changes, we will tell you by email or in the Service at least 30 days before they take effect. If you keep using the Service after that, the new Terms apply; if you do not agree, you may stop using the Service and delete your account.

19. Governing law and disputes

These Terms are governed by the laws of New Zealand. Before starting any proceeding, please contact us at [contact email] so we can try to resolve the matter in good faith within 30 days. The courts of New Zealand have exclusive jurisdiction, without limiting any right you have to take a claim to the Disputes Tribunal.

20. General

These Terms and the Privacy Policy are the whole agreement between you and us about the Service. If a part of these Terms is found invalid, the rest remains in effect. If we do not enforce a right, we do not waive it. You may not transfer your account or these Terms to someone else; we may transfer them as part of a reorganisation or sale of the business, with notice to you.

21. Support, complaints and contact

For questions, problems, privacy requests or complaints, use the Help page or email help@amicova.com. We reply within 5 business days and will tell you what we will do and by when. If you are not satisfied with how we handled a complaint, you may also contact the Commerce Commission about consumer matters, or the Privacy Commissioner about your personal information.
